Sales tax on commercial rent: where it applies
Learn where sales tax on commercial rent may apply to US leases, which required pass-throughs may be taxable, and how lease clauses allocate the bill.
What to take away
- A small group of US jurisdictions taxes commercial rent directly: Florida, Hawaii, Arizona, New Mexico and New York City, with Washington applying a separate leasehold excise tax to public property.
- Most states tax goods and services but leave real property rent alone, so the lease contract rather than a sales tax return decides the cost.
- CAM charges, insurance and property tax reimbursements can fall inside the taxable base where rent is taxed.
- Each jurisdiction uses its own tax mechanism, so the rules are not a single nationwide system.
- Lease clauses decide who absorbs the tax, and escalation clauses raise the tax along with the rent.
Which jurisdictions tax commercial rent
Most states tax goods and services and leave real property rent alone. A short list reaches commercial rent through sales tax, gross receipts tax or a local levy. Each one uses different machinery.

New York City's commercial rent tax applies to Manhattan premises below 96th Street once annual base rent reaches $250,000. A small business exemption sits below that line. New York State itself does not tax commercial rent.
Florida reaches the rent and the charges a lease requires the tenant to pay, which is the broadest base on the list. Signing in Florida also raises disclosure questions. Florida landlord disclosure duties cover code violations, certificates of occupancy and environmental hazards before signature.
How CAM and pass-through charges land
CAM charges, insurance and real estate tax reimbursements are additional rent under most net lease structures. Where commercial rent is taxed, lease-required pass-throughs may be included in the taxable base; separately invoiced services can receive different treatment.
Exempt tenants and federal leases
Government agencies, nonprofits and some other tenants may qualify for exemptions in jurisdictions that tax commercial rent. Eligibility and required documentation depend on the jurisdiction, so landlords should confirm the applicable rules with the tax authority before invoicing. Federal agencies do not pay state sales tax on rent, which is one reason landlords near federal offices study GSA leasing rules before they bid.
A resale certificate rarely works for rent. A tenant that occupies the space is the end user unless it subleases the premises.
Lease clauses that decide the tax bill
Escalation clauses raise rent on a fixed schedule or by an index. A fixed step clause is simple to administer, while an index clause follows a measure such as the Consumer Price Index.
Where rent is taxed, every step up in the escalation raises the tax as well. The lease should say whether quoted rent includes the tax and who remits it.
If rent is quoted net of tax, an escalation clause raises two numbers at once: the rent and the tax on it.
Landlords in states without a rent tax put the weight on escalation drafting instead. Industrial deals in California, Texas and Georgia are the obvious case, where freight corridor industrial leasing turns on clear height, dock ratio and escalation terms.
Example: a monthly rent tax sequence
A tenant leases office space in Hillsborough County with base rent plus a CAM charge. Florida taxes the rent and the CAM the lease requires the tenant to pay. The monthly sequence does not change.
Monthly Florida rent tax sequence
- Add base rent, CAM and tax reimbursement
- Apply state rate and county surtax
- Bill tax as separate line and remit
- Reconcile after annual CAM true-up
Tenant improvement sales tax
Contractors pay sales tax on materials they buy for a build-out in most states, whether or not rent is taxed. Construction contractor rules decide whether the contractor or the owner owes tax on those materials. A tenant improvement allowance paid by the landlord to the tenant usually is not rent.
The owner's income-tax treatment of build-out costs is separate from sales tax on rent. Section 179, qualified improvement property and cost segregation studies can affect deductions, but they do not determine whether lease rent is taxable.
Tax authorities and cross-border leases
For current rules, consult the relevant tax authority: Florida Department of Revenue, Hawaii Department of Taxation, Arizona Department of Revenue, New Mexico Taxation and Revenue Department, New York City Department of Finance, or Washington State Department of Revenue. For Canadian leases, the Harmonized Sales Tax overview explains the separate GST/HST framework.
New York City is a local jurisdiction, not a state. Washington's leasehold excise tax applies to the private use of public property rather than ordinary private commercial leases.
